FDD Item 19 Financial Performance Representation

This section contains financial performance representations of your franchisees and corporate outlets. You’re not required to have an Item 19 disclosure, and there are some opinions out there that you shouldn’t. We, however, rarely recommend not having Item 19 disclosures. Remember, you can’t talk about financial performance, average unit sales, profitability, etc. etc. if it’s not disclosed in the FDD. If you want to talk numbers, then you need to tell us those numbers so we can get them into your FDD in an acceptable format. The problem of not putting any numbers in your Item 19 is the burden in the future is on you to show you never gave the prospect any numbers in the sales process.In the past, the majority of franchisors did not include Item 19 information, and the common opinion was it was riskier to disclose numbers in case franchisees underperformed them. However, as noted above, in our professional experience, the opposite is true. In the non-franchise/non-FDD world, it inevitably turns to financial performance whenever you’re discussing a business opportunity, either casually or formally.If you feel you have a reason that you should not have Item 19 information, we encourage you to discuss it with us. As you think about what numbers to include in your financial performance representation, don’t get into the weeds, but just tell us the best way to tell the financial story of a unit – whether it’s average unit volume, profit margins, etc.Many feel that Item 19 is the most important piece for the prospect to read in the FDD. However, although we think it is important, we also think franchisors put too much weight on it. When we talk to a franchisee, we explain that every franchisor has people financially at the top, bottom, and middle, with the single biggest difference being the franchisee.

Item 19 is the portion of the Franchise Disclosure Document that once regulated “Earnings Claims” under the UFOC, and now under the FDD regulates what are more grandly known as “Financial Performance Representations.” Item 19 is the answer to one of the first questions—and one of the most legally dangerous questions—asked by a potential franchisee: “How much money can I make?”As defined in the Amended FTC Rule, a Financial Performance Representation is “any representation … to a prospective franchisee … that states … a specific level or range of actual or potential sales, income, gross profits, or net profits …” · Got that? There’s more to this definition if you are a franchise seller, but this is the heart of it. Item 19 covers any statement that would inform the reader about the financial performance of existing franchised units or about how a particular franchise might perform in the future.Under FTC rules, no information about the financial performance of a franchise that meets the definition of a Financial Performance Representation can be given to franchisees unless it is listed in Item 19. Franchisors have complete freedom to select the type of Item 19 disclosure that makes sense for their businesses.Even though franchisors have freedom to develop the information they include in Item 19, it all must follow a few legal standards. The Amended FTC Rule makes it unlawful for any franchise seller to make a financial performance representation that is not true or not substantiated when it is made.

Drawing on mobile application data from a globally represent… Drawing on mobile application data from a globally representative sample, we find that the spread of COVID− 19 and related government lockdowns led to a sizeable increase in the rate of finance app downloads. We then analyze factors that may have driven this effect on the demand−side and better understand the “winners” from this digital acceleration on the supply−side.Finally, we drill−down further on the adoption of fintech apps pertaining to both the asset and liability side of the traditional bank balance sheet, to explore the implications that the accelerated trends in digitization may have for the future landscape of financial intermediation.
